Founding Member Protocols
These Protocols provide a high-level description of the Founding Member terms and operating standards. A binding commitment arises only upon mutual acceptance and execution of the Founding Member Agreement.
1. Founding Phase Terms
- Founding Circle: a fixed cohort of thirty-five (35) individuals who are formally admitted as Founding Members under the Founding Member Agreement.
- Admitted Founding Member: a candidate who has completed verification to the required standard, been accepted, and executed the agreement.
- Start condition: operational activities and gatherings commence only after thirty-five (35) Founding Members have been formally admitted.
- Stop date: if the start condition is not met by 1 April 2026, the initiative is terminated and the refund mechanism in Section 3 applies.
Founding Member designation is permanently limited to the Founding Circle. Following operational activation, additional members may be admitted under separate terms without affecting the status or economic conditions of Founding Members.
2. Contributions & Gatherings
Entry Contribution: USD 120,000 (one-time)
Payable only upon admission and execution of the Founding Member Agreement. Allocated to legal structuring, compliance, verification processes, and establishing the operational framework.
Annual Contribution: USD 15,000
- Years 1–3: no annual contribution is due for the first three (3) years following admission.
- Year 4+: USD 15,000 per year applies as a fixed rate for Founding Members, regardless of future pricing for non-founding admissions.
Gatherings (Pay-per-Event)
Gatherings are optional. Participation is confirmed per event. Event-specific terms (including cancellation windows, capacity, and location rules) are provided in advance.
Illustrative range: USD 15,000–35,000 per person, per event (depending on location and duration).
No attendance quotas apply. Participation frequency does not affect membership standing, provided contributions are paid when due and conduct requirements are observed.
3. Termination & Refund Mechanism
Pre-Start Termination
If the start condition is not met by 1 April 2026, the initiative is terminated. In that event, the Entry Contribution is refunded to each admitted Founding Member, minus a fixed amount of USD 3,500 for documented third-party costs.

- Banking and transaction fees
The USD 3,500 fee applies only to admitted Founding Members. Candidates who are not admitted pay no contribution and no fee.
Voluntary Exit (Post-Start)
After operational activation, the Entry Contribution becomes non-refundable. Membership may be terminated by written notice under the terms of the Founding Member Agreement. Outstanding event invoices and confirmed participation commitments remain payable.
Termination for Cause
Membership may be terminated for material breach of these Protocols or the Founding Member Agreement, including confidentiality breaches and solicitation activity. In such cases, the Entry Contribution and paid contributions are non-refundable, subject to applicable law and the agreement terms.
4. Conduct, Confidentiality & Non-Solicitation
Confidentiality
Members must not disclose the identity of other members, private discussions, or specific locations of gatherings to third parties. Gathering rules may include restrictions on photography, recording, and public posting.
Non-Solicitation
Solicitation, pitches, fundraising, and sales activity directed at members are not permitted within the gathering setting. Persistent or material violations may result in termination for cause.
Attendance
No minimum attendance applies. Members may decline invitations without impact on membership standing, subject to any event-specific cancellation rules.
5. Liability & Risk
Participation in gatherings may involve travel and third-party venues and providers. Members remain responsible for personal safety, medical needs, and appropriate insurance coverage. Event-specific terms may apply depending on location and provider requirements.
Fees for cancelled or disrupted gatherings (including due to force majeure) are handled under event-specific terms and applicable law. Where practical, credits or refunds may be applied depending on the cost structure already incurred.
6. Governing Terms
The Founding Member Agreement governs the legal relationship between the admitted Founding Member and the operating entity. In case of any conflict between these Protocols and the executed agreement, the executed agreement prevails.
